THE TRUSTEES OF THE SHAWNEE MUNICIPAL AUTHORITY OF THE CITY OF SHAWNEE, COUNTY OF POTTAWATOMIE, STATE OF OKLAHOMA, MET IN REGULAR SCHEDULED SESSION IN THE COMMISSION CHAMBERS AT CITY HALL, 9TH AND BROADWAY, SHAWNEE, OKLAHOMA, MONDAY, SEPTEMBER 15, 2003 IMMEDIATELY FOLLOWING THE BOARD OF CITY COMMISSIONERS MEETING, PURSUANT TO NOTICE DULY POSTED AS PRESCRIBED BY LAW. UPON ROLL CALL, A QUORUM WAS DECLARED PRESENT WITH THE FOLLOWING MEMBERS IN ATTENDANCE:

PRESENT: Claybrook, Pettyjohn, Harrod, Harden, Weaver, Peterson, Downing
ABSENT : None

AGENDA ITEM NO. 1: Call to Order.

Chairman Harden presided and called the meeting to order.

AGENDA ITEM NO. 2: Declaration of a Quorum.

Chairman Harden declared a quorum present.

AGENDA ITEM NO. 3: Consider approval of Consent Agenda.

* Minutes of September 2, 2003 meeting

A motion was made by Vice Chairman Downing, seconded by Trustee Pettyjohn, to approve the September 2, 2003 minutes as presented. Motion carried.

AYE: Downing, Pettyjohn, Harrod, Harden, Weaver, Peterson, Claybrook
NAY: None

AGENDA ITEM NO. 4: Discussion and possible action on a resolution authorizing the incurrence of indebtedness in the principal amount of $395,000 by the issuance of the Authority’s Sales Tax Revenue Note, Series 2003 (The “Note”); waiving competitive bidding with respect to the sale of said note and

authorizing the negotiated sale thereof; approving and authorizing execution of a sales tax agreement between the City of Shawnee and the Authority pertaining to the year-to-year pledge of certain city sales tax revenues; and containing other provisions relating thereto.

Resolution No. SMA-2003-02 was introduced and the title read aloud.

Resolution No. SMA-2003-02 entitled “A resolution authorizing the Shawnee Municipal Authority (The “Authority”) to issue its Sales Tax Revenue Note, Series 2003 (The “Note”) in the principal amount of $395,000; waiving competitive bidding and authorizing the Note to be sold on a negotiated basis; approving and authorizing execution of a sales tax agreement by and between the City of Shawnee, Oklahoma, and the Authority pertaining to a year-to-year pledge of certain sales tax revenue; approving and authorizing execution of a Note indenture authorizing the issuance and securing the payment of the Note; authorizing and directing the execution of the Note and related documents; establishing the Authority’s reasonable expectation with respect to the issuance of tax-exempt obligations by the Authority in calendar year 2003, and designating the Note as a qualified tax-exempt obligation; and containing other provisions relating thereto.”

A motion was made by Trustee Harrod, seconded by Vice Chairman Downing, that the Title and Resolution No. 2003-02 be approved. Motion carried.

AGENDA ITEM NO. 5: Administrative Reports.

There were no Administrative Reports.

AGENDA ITEM NO. 6: New Business.

There was no New Business to be considered.

There being no further business to come before the meeting, a motion was made by Trustee Pettyjohn, seconded by Trustee Peterson, that the meeting be adjourned. Motion carried. (8:59 p.m.)
